Your use of the Platform signifies your agreement to these Terms. These Terms govern all individuals who visit, register, or interact with the Platform. If you do not accept any aspect of these Terms, you must cease using the Platform immediately. These Terms supersede any prior agreements and incorporate supplementary policies such as the Privacy Policy, After-Sale Policy, and Store Authorization Agreement.

TeemDrop manages the teemdrop.com Platform, which facilitates dropshipping, product sourcing, fulfillment, and associated e-commerce tools, including AI-powered sourcing, global warehouses, platforms like Shopify and WooCommerce, order processing, store management, and affiliate services.

The Platform and its materials are not intended as legal counsel. For professional legal guidance, consult a qualified lawyer. TeemDrop makes no guarantees regarding the accuracy or completeness of the Platform's content, though we strive for reliability.

Purchases and Transactions

When making a purchase via the Platform ("Transaction"), you may need to provide details such as payment method information, billing address, and shipping details.

You affirm that: (i) you are authorized to use the provided payment methods; and (ii) all submitted information is accurate and complete.

We utilize third-party processors (e.g., PayPal, Stripe) to handle payments and fulfill Transactions. By providing your details, you permit us to share them with these processors in line with our Privacy Policy.

We may decline or cancel Transactions for reasons including but not limited to stock issues, pricing errors, order discrepancies, or suspected fraud. Fees apply for orders and services such as products, shipping, photos, packaging, inventory, procurement, supplier fees, and inspections.

Transactions to high-cost shipping destinations may incur extra charges based on shipping methods (e.g., YunExpress, DHL). Users bear customs, taxes, and any excess shipping costs.

Platform Availability and Accuracy

We regularly refresh our offerings on the Platform. However, updates may lag, and information could contain errors, be incomplete, or outdated. Products might be incorrectly priced, described, or unavailable. Product information (attributes, prices) is variable and real-time on the site.

We reserve the right to amend information, fix errors, or make updates without advance notice. Services are provided "as is" without warranties.

Payment for Goods and Delivery

Fulfilling an order through TeemDrop involves charges for the item cost and shipping fees. The item cost reflects the product's price, while shipping covers delivery to the end recipient.

Payments accepted via credit cards, PayPal, and account wallet balance (USD only).

Bonuses apply based on recharge amounts (0.5%-2%). Withdrawals incur a 3% fee.

Promotions, Contests, and Giveaways

Any promotions, contests, or similar events ("Events") on the Platform may have separate guidelines. Review those rules and our Privacy Policy before participating. In case of conflicts, Event rules take precedence.

Subscription Services

Certain features may involve fees billed for services. Services are mostly free (e.g., downloads, browsing, registration, listings), but charges apply for specific orders and services. No explicit subscriptions are detailed, but auto-renewal may apply to ongoing services unless canceled via account or support.

Provide valid billing details for processing. You authorize us to charge fees to your method.

If auto-billing fails, we'll send an invoice for manual payment within a specified timeframe.

Our exclusive sourcing tools are limited to genuine end-customer orders, not test purchases.

Trial Periods

We may offer limited-time free trials ("Trials") at our discretion, such as a 30-day free trial with zero platform fees.

Billing info might be required for signup, but charges begin only post-Trial unless canceled.

We can alter or end Trial terms anytime without notice.

Fee Adjustments

We may change fees at our discretion, effective after notice, with reasonable notice allowing cancellation.

Continued use post-change implies acceptance.

Refund Guidelines

Refunds are issued only if TeemDrop is responsible, per the After-Sale Policy. Key policies:

Subscriptions/Services:
Generally non-refundable, but we review requests case-by-case. Errors in fees result in refund of amounts; status fixed in 1-2 days.

Orders:
Delays: USA: Disputes if no delivery 45 days post-shipment. Brazil: 110 days post-shipment due to customs. Special shipping may not qualify.
Delivered Items: No refunds if tracking shows delivery; non-receipt requires official post office certification. Investigation takes 1-2 months.
Damage: Full refund/replacement for fully damaged; partial for minor issues (excluding packaging). Complaints within 30 days.
Wrong/Missing Items: Full/partial refund or replacement with evidence (e.g., photos for size issues).
Cancellations: Full refunds pre-processing; no cancellation for customized (e.g., POD), pre-order, or service orders post-payment.
Time Limit: Disputes close 30 days after delivery tracking; no reactivation.

Refunds require TeemDrop fault; evidence (photos/videos/screenshots) is mandatory. Submit via official channels; off-platform disputes may freeze accounts.

Branding: Custom/POD items non-returnable except quality issues; no refunds for non-applicability.

User Accounts

Account creation requires legal capacity and accurate info. Accounts are personal and non-transferable. Inaccuracies may lead to termination.

You must secure your credentials and report breaches immediately. You're liable for all account activities. Multi-use or harmful actions may lead to suspension/termination.

Usernames must not infringe rights, be unauthorized, or offensive.

We may suspend accounts or cancel orders at our discretion for violations (e.g., false statements, unauthorized use).

External Links

The Platform may link to third-party sites (e.g., Shopify, DHL). We don't control or endorse them and aren't liable for their content or practices.

New User Credits

Restricted Activities

You must not use the Platform to: (a) break laws; (b) encourage illegal acts; (c) violate regulations or IP rights; (d) harass or discriminate; (e) submit false data; (f) spread malware; (g) collect personal info unlawfully; (h) spam or phish; (i) pursue obscene purposes; or (j) bypass security. Additional prohibitions: unauthorized/malicious use, IP infringement, network attacks, reverse engineering, plugins for gains, copying for commerce.

Violations may result in termination.

Account Termination

We can suspend or end access anytime for any reason, including breaches (e.g., abuse, commercial bribery).

You can stop using the Platform to terminate. Surviving provisions persist.

No refunds for early terminations or unused balances, except as per refund policy.

Indemnity

You agree to indemnify TeemDrop, its affiliates, and personnel against claims, losses, or expenses from: (a) your Platform use; (b) Terms breaches; or (c) legal violations.

This includes IP infringement claims or product defects. Users bear dropshipping risks (quality, labels, IP).

Liability Limits

TeemDrop isn't liable for indirect, consequential, or punitive damages, including profit losses, from Platform use or related issues. No liability for force majeure (e.g., disasters, epidemics, customs delays).

Service is "as is"; no guarantees of uninterrupted, secure, or error-free operation.

Liability is limited to the extent allowed by law. No liability for third-party services or user-verified order info.

In no event shall TeemDrop's total liability arising out of or in connection with these Terms exceed the total amount paid by you to TeemDrop in the three (3) months preceding the event giving rise to the claim.

General Disclaimer

Platform use is at your risk, provided without warranties.

We don't assure constant availability, error correction, virus-free status, or results meeting expectations.

Full Agreement

These Terms, plus posted policies (e.g., Privacy Policy, After-Sale Policy), form the complete understanding, overriding prior agreements.

Non-enforcement isn't a waiver.

Ambiguities aren't construed against the drafter.

Exceptions

Some areas may not permit warranty exclusions or liability limits, so those may not apply.

Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

Updates

We may revise Terms; changes notified via email or announcements. Continued use post-update means acceptance. Review periodically.

Returns and Refunds

Returns accepted within 7 days for non-quality issues (customer pays shipping). Quality issues prioritize refund/resend. Process requires authorization, reliable carrier, original packaging. Failed inspection leads to disposal or return at expense. Refer to After-Sale Policy for full details.

Product Details and Imagery

Vendors must supply accurate product information for Platform use. Products must comply with laws; no illegal, infringing, or prohibited items.

Promotion and Advertising

We may promote products across channels. We decide inclusion, placement, and descriptions; vendors provide accurate claims.

We can stop promoting anytime.

Pricing Structure

We set retail prices, adjustable subject to vendor agreements. No specific MAP detailed.

Packaging Standards

Meet our minimum standards; no unapproved changes. Fulfill orders promptly (e.g., within processing times).

Payment Processing

Payments via electronic methods. Users bear fees; no specific vendor payout details, but platform handles transactions.

Customers get returns per policy; vendors handle accordingly.

Vendors cover any third-party fees.

Tax Responsibilities

Users handle customs/taxes; platform may assist where required.

Authenticity Guarantees

Products must be genuine and authorized; provide documentation on request. Users liable for IP infringements.

Vendor Indemnity

Indemnify TeemDrop against claims from breaches, infringements, or product issues. TeemDrop not liable for sales platform flaws or user data disclosure losses.

Liability Caps

No liability for indirect damages from vendor actions or platform issues.

Complete Understanding

This Agreement is full; non-waiver applies. Data cleared regularly for protection.
